These Terms & Conditions (“Terms”) govern the use of the AIGURU website and any products, services, quotations, or engagements provided by AIGURU Pte. Ltd. (“AIGURU”, “we”, “our”, or “us”).By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Scope of Services AIGURU provides industrial hardware, technical solutions, sourcing support, and related services primarily for business, industrial, and OEM customers. All products and services offered are intended for commercial and industrial use only, unless expressly stated otherwise in writing.

2. Website Use The content on this website is provided for general information purposes only and does not constitute a binding offer.

  • Product descriptions, specifications, images, and availability are subject to change without notice
  • Website content does not replace formal quotations, technical specifications, or contractual documentation
  • Unauthorized use of website content, including copying or redistribution, is prohibited

3. Quotations & Orders 3.1 Quotations

  • All quotations are valid for a limited period as stated in the quotation
  • Quotations are subject to confirmation of specifications, quantities, lead times, and availability
  • Prices exclude taxes, duties, delivery, and other charges unless expressly stated

3.2 Orders

  • Orders are only binding upon written confirmation by AIGURU
  • Purchase orders must clearly specify product details, quantities, delivery requirements, and reference numbers
  • Cancellation or modification of confirmed orders requires AIGURU’s written consent and may incur charges

4. OEM and Custom Requirements
For OEM, custom, or project‑specific requirements:

  • Customers are responsible for providing complete and accurate specifications
  • AIGURU is not responsible for errors arising from incomplete or inaccurate information provided by the customer
  • Custom or OEM products may be non‑cancellable and non‑returnable once production or sourcing has commenced

5. Delivery & Lead Time

  • Delivery dates and lead times provided are estimates and not guaranteed unless expressly agreed in writing
  • Delays caused by factors beyond AIGURU’s control (e.g. supply chain disruptions, customs clearance, force majeure events) shall not constitute a breach of contract
  • Risk of loss or damage passes to the customer in accordance with the agreed delivery terms

6. Inspection & Acceptance Customers must inspect goods upon delivery and notify AIGURU in writing of any defects or discrepancies within a reasonable timeframe. Failure to notify AIGURU within this period shall constitute acceptance of the goods.

7. Warranties & Limitations

  • Products are supplied with manufacturer warranties, if applicable
  • AIGURU does not provide additional warranties unless expressly stated in writing
  • To the maximum extent permitted by law, AIGURU disclaims all implied warranties, including fitness for a particular purpose

8. Limitation of Liability To the maximum extent permitted by law:

  • AIGURU shall not be liable for any indirect, incidental, consequential, or economic losses
  • AIGURU’s total liability shall not exceed the value of the product or service giving rise to the claim
  • AIGURU shall not be liable for losses arising from misuse, improper installation, or use outside intended industrial applications

9. Intellectual Property All intellectual property rights related to:

  • Website content
  • Technical documents
  • Drawings, specifications, and materials

remain the property of AIGURU or its licensors, unless otherwise agreed in writing. No license or right is granted except as necessary for the intended business engagement.

10. Confidentiality Any non‑public, technical, commercial, or business information exchanged during discussions or projects shall be treated as confidential and shall not be disclosed without prior written consent, except as required by law.

11. Compliance with Laws Customers agree to comply with all applicable laws and regulations, including but not limited to:

  • Import/export regulations
  • Safety standards
  • Industry‑specific compliance requirements

12. Force Majeure AIGURU shall not be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, labor disputes, supply chain disruptions, or governmental actions.

13. Governing Law These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. Amendments AIGURU reserves the right to update or modify these Terms at any time. Updated Terms will be posted on the website and take effect immediately upon publication.
